Fox Corp. has completed its $22 billion acquisition of Roku, closing the cash-and-stock deal months ahead of its original first-half 2027 target after the US Justice Department ended its antitrust review.

Announced in June, the deal was originally slated to close in H1 2027. The Justice Department on Friday said it had closed an antitrust investigation into the merger deal, finding that it was unlikely to harm competition.

Roku shareholders get $95.30 in cash plus 0.9799 Fox Class A shares per share, leaving them with about 26% of the combined company. Roku has been delisted from Nasdaq.

The deal puts Fox’s live sports and news alongside Roku’s platform, which reaches more than 100 million households, and Roku now sits next to Tubi in a new Fox Digital Platforms division.

Fox expects about $400 million in cost savings within two years.
